This License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Jscriptz, LLC ("Licensor") for the use of Jscriptz One-Page Checkout Pro ("Software"). By purchasing, installing, or using the Software, you agree to the terms of this Agreement.

1. Grant of License

Upon purchase of an active subscription, Licensor grants Licensee a non-exclusive, non-transferable license to:

  • Install and use the Software on one (1) production Adobe Commerce / Magento Open Source installation and unlimited development/staging environments associated with that installation.
  • Modify the Software's source code for internal use on the licensed installation.
  • Receive software updates, bug fixes, and security patches for the duration of the active subscription period.

2. Subscription Terms

  • Price: $299.00 USD per year.
  • Billing: Annual billing through the Adobe Commerce Marketplace.
  • Renewal: Subscriptions renew automatically unless cancelled before the renewal date through the Adobe Commerce Marketplace.
  • Lapsed Subscription: If a subscription lapses, the Licensee may continue to use the last installed version of the Software but will not receive updates, new features, or technical support. Licensor is not obligated to provide any services for lapsed subscriptions.

3. Additional Installations

Each additional production installation requires a separate subscription license purchased through the Adobe Commerce Marketplace. Development, staging, and testing environments associated with a licensed production installation do not require additional licenses.

4. Replaces Lower Tiers

The Pro package includes all functionality of the Starter tier (Jscriptz One-Page Checkout). Installing the Pro package via Composer automatically replaces any existing Starter installation. Only one tier may be installed at a time.

5. Restrictions

Licensee shall NOT:

  • Redistribute, sublicense, sell, lease, or otherwise transfer the Software or any modified version to any third party.
  • Remove or alter any proprietary notices, labels, or marks on the Software.
  • Use the Software to create a competing product or service.
  • Share subscription credentials or license keys with unauthorized parties.
  • Claim ownership of the Software or any derivative works.

6. Intellectual Property

The Software, including all code, documentation, and design, is the exclusive intellectual property of Jscriptz, LLC. This Agreement does not transfer ownership of the Software. All rights not expressly granted are reserved by the Licensor.

7. Third-Party Services

The Software integrates with third-party services including but not limited to:

  • Payment gateways (Stripe, PayPal, Adobe Payment Services)
  • Google Places API (address autocomplete)
  • Google reCAPTCHA
  • EU VIES VAT validation service
  • Social login providers (Google, Facebook, LinkedIn, Twitter/X, Slack, PayPal, Microsoft)
  • Shipping carriers

Licensee is responsible for obtaining necessary API credentials and complying with each third-party service's terms of use. Some third-party services may incur additional costs (e.g., Google Places API usage fees). Licensor is not responsible for the availability, performance, pricing, or terms of any third-party service.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE CURRENT SUBSCRIPTION PERIOD.

10. Termination

  • Licensor may terminate this Agreement immediately if Licensee breaches any term.
  • Upon termination for breach, Licensee must cease all use of the Software and destroy all copies.
  • Licensee may terminate at any time by cancelling the subscription and uninstalling the Software.

11. Support

Active subscribers receive:

  • Email support at support@jscriptz.com
  • Access to documentation and user guides
  • Bug fixes and security patches
  • Software updates and new features within the licensed tier

Support response times are provided on a best-effort basis. Priority support and custom development are available as separate engagements.

12. Upgrades and Downgrades

  • Upgrade: Licensee may upgrade to Enterprise at any time by purchasing the Enterprise subscription. The Enterprise package replaces the Pro package via Composer. No data is lost during the upgrade.
  • Downgrade: Licensee may downgrade to Starter by cancelling the Pro subscription and purchasing a Starter subscription. Pro-specific features (custom fields, order bumps, etc.) will become unavailable, but data is preserved in the database.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to conflict of law principles.

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and communications, whether written or oral, relating to the Software.
