This Software License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Jscriptz, LLC ("Licensor") for the use of Jscriptz UPS v3 for Adobe Commerce ("Software").

1. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants Licensee a non-exclusive, non-transferable license to:

  • Install and use the Software on the number of Adobe Commerce / Magento Open Source installations covered by your subscription.
  • Modify the Software solely for Licensee internal use.
  • Receive Software updates during active subscription period.

2. Subscription Terms

The Software is licensed on a subscription basis. Your subscription includes:

  • Access to all Software updates released during your subscription period.
  • Bug fixes and security patches.
  • Priority email support.

Subscription renewal is required for continued access to updates and support.

3. Restrictions

Licensee shall NOT:

  • Redistribute, sublicense, sell, resell, lease, or otherwise transfer the Software to any third party.
  • Remove or alter any proprietary notices, labels, or marks on the Software.
  • Use the Software to create a competing product or service.
  • Share subscription credentials or access with third parties.

4. Intellectual Property

The Software and all copies thereof are proprietary to Licensor and title, and all intellectual property rights therein remain exclusively with Licensor. All rights not specifically granted in this Agreement are reserved to Licensor.

5. Third-Party Services

The Software integrates with UPS APIs. Licensee is responsible for:

  • Obtaining necessary API credentials from UPS.
  • Complying with UPS terms of service and API usage policies.
  • Maintaining a valid UPS account.

Licensor is not responsible for any changes to carrier APIs, pricing, or service availability.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. LICENSOR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any term. Upon termination or subscription expiration, Licensee may continue using the last installed version but will not receive updates or support.

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof.
